Microsh Terms of Service

Welcome to Microsh! These Terms of Service ("Terms") govern your use of Microsh's services, including our website, applications, and other features or services we may offer (collectively, the "Service"). Microsh is a product of Carbonio Corporation, a company registered at 1111B S Governors Ave STE 7238 Dover, DE 19904, United States. By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use our Service.

1. Definitions

User: Any individual or entity using Microsh's Service. Influencer: A User who offers their influence for collaborations or endorsements through our Service. Collaborator: A User seeking to engage with Influencers for marketing or promotional purposes. Content: Any material, such as text, images, videos, and information, uploaded or shared on the Service by Users. Collaboration Agreement: A contract between an Influencer and a Collaborator facilitated through the Service.

2. Use of the Service

2.1 Account Registration

You must register an account to access and use certain features of the Service. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2.2 User Conduct

You are responsible for all activities under your account and for the Content you post. You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Service.

3. Content and Intellectual Property

3.1 Ownership and Rights

You retain ownership of your Content. By posting Content on the Service, you grant Microsh a non-exclusive, worldwide, royalty-free license to use, display, and distribute your Content in connection with the Service.

3.2 Content Standards

Your Content must comply with all applicable laws and regulations. You must not post any Content that is defamatory, obscene, infringing on intellectual property rights, or otherwise injurious to third parties.

4. Collaborations and Transactions

4.1 Collaboration Agreements

All Collaborations initiated through the Service are subject to a Collaboration Agreement, which is a separate contract directly between the Influencer and the Collaborator.

4.2 Transactions

Microsh may facilitate payments for Collaborations but is not a party to any transaction. Users are responsible for fulfilling their obligations under any Collaboration Agreement.

5. Disclaimers and Limitations of Liability

Microsh provides the Service "as is" and "as available," without warranty of any kind. To the maximum extent permitted by law, Microsh disclaims all warranties, express or implied, including the implied warranties of merchantability and fitness for a particular purpose. Microsh will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or other intangible losses, resulting from your use of the Service or any Content or Collaborations facilitated through the Service.

6. Indemnification

You agree to indemnify and hold harmless Microsh, Carbonio Corporation, and their officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising from your use of the Service, your Content, or your violation of these Terms.

7. Modifications to the Terms

Microsh reserves the right to modify these Terms at any time. We will provide notice of any significant changes to the Terms by posting the new Terms on our Service and updating the "Last Updated" date. Your continued use of the Service after such changes have been notified will constitute your consent to the modified Terms.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
